How investments are made

Most investments are made through special purpose vehicles (SPVs) organized primarily in Delaware and, in some cases, in the British Virgin Islands, offered only to eligible investors through each SPV’s offering documents, which govern in case of any conflict. Some transactions are conducted through independent broker-dealers registered with the SEC and members of FINRA. In those cases RSV Capital acts only as an introducing party and may receive compensation, as disclosed in the transaction documents.

United States

Securities referenced on this site have not been registered under the U.S. Securities Act of 1933 or any state securities laws, and SPVs are not registered under the Investment Company Act of 1940. Offerings to U.S. persons are made only to accredited investors under Rule 506(b) of Regulation D. RSV Capital is not a registered broker-dealer or investment adviser.

Canada

Red Sharks Ventures, Inc. is not registered as a dealer or adviser with any Canadian securities regulatory authority. Securities are offered only to accredited investors as defined in National Instrument 45-106 Prospectus Exemptions.
